1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Amani Digital LLC ("Company," "we," "us," or "our") governing your access to and use of theAmani Intelligence platform, including any related websites, applications, and services (collectively, the "Service").

Acceptance Mechanism: You accept these Terms by: (a) clicking "I Agree" or similar acceptance button during account registration, (b) accessing or using any part of the Service after these Terms have been made available to you, or (c) continuing to use the Service after updates to these Terms have been posted.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Amani Intelligence is an AI-powered business intelligence and research platform that provides:

• Business assessment and digital maturity scoring
• AI-assisted research and analysis using multiple language models
• Document analysis and private RAG (Retrieval-Augmented Generation) capabilities
• Strategic recommendations from an AI council of advisors
• Executive report generation

3. AI Services Disclaimer

3.1 Not Professional Advice: The AI-generated insights, recommendations, and reports provided through the Service do not constitute professional business, legal, financial, investment, tax, or other professional advice. You should consult qualified professionals before making important business decisions based on AI-generated content.

3.2 AI Limitations: AI systems may produce inaccurate, incomplete, or biased outputs. We do not guarantee the accuracy, reliability, or completeness of any AI-generated content. You are solely responsible for verifying and validating any information provided by the Service.

3.3 No Fiduciary Relationship: Use of the Service does not create any fiduciary, professional-client, or advisory relationship between you and the Company.

3.4 Third-Party AI Providers: The Service relies on third-party AI providers. We are not responsible for any errors, omissions, or limitations in the outputs from these third-party systems. Your use of AI features is also subject to the terms and acceptable use policies of these providers.

4. User Accounts

4.1 Account Creation: To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update this information to maintain its accuracy.

4.2 Account Security: You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at support@amanidigital.com of any unauthorized access
• Using strong, unique passwords and enabling multi-factor authentication when available

4.3 Account Termination: We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or other legitimate business reasons with notice where practicable.

5. Subscription and Payment Terms

5.1 Subscription Plans: The Service is offered through various subscription tiers (Foundation, Starter, Growth, Professional, Enterprise) with different features and pricing. Current pricing is available at /pricing.

5.2 Billing Cycles: Subscriptions are billed either monthly or annually in advance. Annual subscriptions receive a discount as displayed at the time of purchase.

5.3 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate unless otherwise specified.

5.4 Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

5.5 Refunds: We offer a 14-day money-back guarantee for new subscriptions. Refund requests must be submitted within 14 days of initial purchase. Annual subscriptions cancelled after 14 days are not eligible for prorated refunds unless required by applicable law.

5.6 Price Changes: We may change subscription prices with 30 days' notice. Price changes take effect at your next renewal date. Your continued use constitutes acceptance of the new pricing.

5.7 Payment Processing: Payments are processed securely by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6. User Content and Data

6.1 Your Content: You retain ownership of all content, data, and documents you upload to or create through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service.

6.2 License Grant: You grant Amani Digital LLC a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your User Content solely to: (a) provide the Service to you, (b) improve our AI models and Service quality (in anonymized, aggregated form only), and (c) comply with legal obligations.

6.3 Content Responsibility: You are solely responsible for ensuring your User Content does not violate any third-party rights, applicable laws, or these Terms.

6.4 Data Processing: Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. For EU customers, our Privacy Policy includes data processing terms compliant with GDPR Article 28.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Share your account credentials with others or allow multiple users on a single account
• Upload malicious code, viruses, or harmful content
• Use the Service to generate spam, phishing content, or misleading information
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated systems to access the Service in a manner that exceeds reasonable usage
• Resell, sublicense, or redistribute the Service without our written permission

8. Intellectual Property

8.1 Company IP: The Service, including all content, features, functionality, software, designs, trademarks, and other intellectual property, is owned by Amani Digital LLCand is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

8.3 Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us an unlimited, irrevocable, royalty-free license to use such feedback for any purpose.

9. Limitation of Liability

You agree to indemnify, defend, and hold harmless Amani Digital LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to causes beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power failures, internet or telecommunications failures, third-party service provider outages (including AI API providers), or labor disputes. The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact of such events.

12. Governing Law and Jurisdiction

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12.2 Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to personal jurisdiction and venue in such courts.

12.3 Arbitration: For claims not exceeding $10,000, either party may elect to resolve the dispute through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in San Francisco, California, and the arbitrator's decision shall be final and binding.

12.4 Class Action Waiver: YOU AGREE THAT ANY CLAIMS AGAINST US WILL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account and/or through a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service before they take effect.

14. Termination

14.1 Termination by You: You may terminate your account at any time through your account settings or by contacting us at support@amanidigital.com.

14.2 Termination by Us: We may suspend or terminate your access to the Service immediately and without prior notice for: (a) material breach of these Terms, (b) fraudulent or illegal activity, (c) non-payment, or (d) to comply with legal requirements.

14.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain your data as described in our Privacy Policy. Sections 6 (User Content), 8 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) shall survive termination.

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Amani Digital LLCregarding the Service.

15.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
